The forced consolidation of the auto industry has impacted the automotive advertising industry in ways that most automotive advertising agencies don’t understand. Philip explained the unique opportunities being presented to automotive advertising agencies that provide solutions to auto dealers faced with the trauma of losing their Chrysler and/or General Motors dealerships as well as the opportunity for the surviving dealerships to capitalize on the consolidation to gain market share. “The bankruptcy of Chrysler and the anticipated filing by General Motors has forced auto dealerships to reconsider their investments in the retail auto industry. Profit margins on new vehicle sales have dropped precipitously in recent years with the advent of the Internet which has armed consumers in the negotiation process. Recent drops in new vehicle sales volume in synch with a shrinking economy has been accelerated by the forced bankruptcy of Chrysler, with General Motors soon to follow. The double hit of reduced profits and unit sales has been compounded by dropping real estate values, limited wholesale and retail credit and a general lack of confidence by consumers to purchase a vehicle. With all of the problems facing the auto industry it is hard to see the glass as being half full, but those who survive the consolidation will certainly reap the rewards when the market returns, and it will!”

Philip described the real estate opportunities resulting from recent consolidations in the auto industry as follows, “As for the impact on the real estate assets that are so vital to any comprehensive auto dealership business model the game has changed. NWA was formed to capitalize on the acquisitions and dispositions that are already taking place as a result of the forced consolidations at Chrysler and GM. Colliers Abood Wood-Fay formed their specialized automobile division – Colliers Automotive Real Estate Services, (C.A.R.S.), to focus on the highest and best use of those dealerships that were previously limited by the site control contracts with Chrysler and General Motors that are now being released. The combination of NWA and their ability to purchase and place experienced minority dealer operators to maintain operations funded by the venture capital that they are raising and the established commercial office network linked through CARS to attract investors from retail operations outside of the auto industry is a win-win scenario. NWA Business Plan

New Wave Automotive LLC plans to raise a significant amount of capital for acquisitions, taking advantage of the current opportunities in the marketplace with an emphasis on middle to large sized markets. In addition, NWA will also solicit new points for manufacturers such as Toyota, Honda, Volkswagen, Audi, Mazda and Harley-Davidson. Several meetings have already been held with Chrysler LLC to discuss the acquisition of numerous sites reaching from North Carolina to California. Similar meetings will be held with Ford Motor Company and General Motors Corporation. The goal is to diversify the franchise brands owned by NWA to minimize risk. For example, the longevity of Chrysler LLC is in question, thereby reaffirming the necessity to diversify NWA‟s overall portfolio. Some dealership sites are no longer suitable for a car dealership but may be of value for an alternate commercial purpose such as hotels, restaurants, etc. NWA is currently in preliminary discussions with Colliers, Abood, Wood, Fay, commercial real estate brokers that have a national presence, and an internal CARS Group that evaluates dealership sites and offers recommendations on best use to include alternate solutions. As a result, NWA is also in discussion with several motel/hotel franchises to include Intercontinental Hotel Group, Choice Hotels, Wyndham and Marriott. These organizations all have diversity programs. The objective is to acquire dealerships and the supporting real estate in geographic pods for the purpose of monitoring and controlling them.

MACEO K. SLOAN, CFA

Attorney Maceo K. Sloan, a descendant of the founders of North Carolina Mutual Life Insurance Company, an investment management legacy which dates back to 1898, is Chairman, President & CEO of Sloan Financial Group, Inc., and Chairman, CEO and CIO of NCM Capital Management Group, Inc., and NCM Capital Advisers, Inc. Prior to founding NCM Capital, Mr. Sloan spent 13 years with North Carolina Mutual Life Insurance Company and its subsidiary, NCM Life Communications, Inc., (which had holdings in cable, cellular and radio).

He is also a member of the Board of Directors for the SCANA Corporation and a member of the National Association of Securities Professionals. Mr. Sloan had served on the Board of Directors of M&F Bancorp, Inc., since 2000 and was elected as Chairman of the Board in 2005. He served on the Board of Directors of Mechanics & Farmers Bank from 1980 to 2001 and since 2005. In addition, he is a former member of the Advisory Committee on International Communications and Information Policy and the ERISA Advisory Council to the U. S. Secretary of Labor. He has also served as Chairman of the Rainbow/PUSH Wall Street Project. DON POLLOCK

Don Pollock is a strategic Chief Operating Officer experienced in automotive operations and acquisitions with special expertise in finance, successful start-ups and the monitoring and controlling of operations, experience which he has expanded into manufacturing. He is President, Automotive Acquisitions & Consulting, Inc., (Delray Beach, FL) and President, Master Holdings Group, Inc., a specialty manufacturer of security doors in Piacenza, Italy.

His extensive automotive experience includes various roles with J. M. Family Enterprises LLC (originally owned by automotive tycoon, Jim Moran) and subsidiaries including Southeast Toyota Distributors, LLC, (“SET”), The Dealer Development Group, Inc., (“DDG”) and World Omni Financial Corp., (“WOFC”). Key Accomplishments:

Directed the operation of 6-10 dealerships simultaneously under The Dealer Development Group, Inc., Program. The Program resulted in the graduation of many dealer/operators who have dramatically increased the sale of Toyota products. · Successfully negotiated and closed all buy/sells to include acquisition of assets and real estate;

· Structured deals that were well capitalized and with reasonable buy/out prospects;
